About SATS
SATS is Strive's 15.00% Series A Perpetual SATS Preferred Stock. On 15 October 2026 Strive priced an initial public offering of 7,000,000 shares at $90 each (about $630 million) against a $100 stated value, with a Nasdaq listing applied for. It pays a 15.00% annual dividend ($15.00 a share a year) in cash on each business day, if declared and cumulative if ever missed, beginning 9 November 2026.
At closing Strive intends to set aside a dividend reserve of $22.50 per SATS share — 18 months of dividends. SATS would rank below Strive's SATA preferred, so it carries more risk than SATA, which is the trade-off for the higher rate. SATS has not priced or begun trading yet: everything on this page is based on the announced terms, not a live market, and will be updated once the offering prices.
Strive is a Nasdaq-listed Bitcoin treasury and asset management company, with over 36,818 Bitcoin.

What ranks above it
SATA (13% variable, about $1.4bn outstanding) ranks above SATS, and Strive reported no debt at 9 October 2026. The prospectus says any debt Strive takes on later would also rank ahead, and it does not stop Strive issuing more stock that ranks equal to or above SATS.
What ranks below it
ASST common stock ranks below SATS: it absorbs losses first and is paid last.
How the dividend is financed
At closing, due on 20 October 2026, Strive says it will add $22.50 per SATS share to its dividend reserve, 18 months of the 15% dividend (about $157.5m on 7 million shares). It plans to use the net proceeds for general corporate purposes, including buying bitcoin and repurchasing common stock or SATA. All of this is from Strive's 424B5 prospectus supplement dated 15 October 2026.
